Terms of Service

1. Acceptance of Terms

By accessing or using Muse Collectivity ("the platform", "we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the platform.

These terms constitute a legally binding agreement between you and Muse Collectivity under Australian law, including the Electronic Transactions Act 1999 (Cth). Your continued use of the platform after any changes to these terms constitutes your acceptance of the updated terms.

2. Platform Role

Muse Collectivity is a marketplace platform that connects music artists with music creators (producers, mixers, vocalists, and other service providers). Muse Collectivity is a facilitator only. We provide the tools, payment infrastructure, and communication channels for users to collaborate.

When an artist engages a creator through Muse Collectivity, the resulting agreement is between the artist and the creator directly. Muse Collectivity is not a party to that agreement and does not guarantee the quality, timeliness, or outcome of any work performed. We do not employ, supervise, or direct creators in how they perform their services.

Our role is limited to: hosting project listings, facilitating communication, processing payments through our escrow system, and providing a dispute mediation service. We do not endorse, verify, or certify the skills or qualifications of any user.

3. Eligibility

You must be at least 18 years old to use Muse Collectivity. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

4. Account Responsibilities

When you create an account on Muse Collectivity, you agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your login credentials secure and confidential
  • Not share your account with others or allow others to access your account
  • Notify us immediately if you suspect any unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these terms, in accordance with Section 10 below.

5. Artist Terms

As an "Artist" on Muse Collectivity (someone who posts projects and commissions work), you agree to:

  • Provide clear and accurate project descriptions, including scope, deliverables, and timelines
  • Respond to creator submissions and communications in a timely and professional manner
  • Make payment through the platform's payment system — do not arrange off-platform payments to circumvent our services
  • Provide constructive and respectful feedback during the revision process
  • Not request work outside the agreed scope without renegotiating terms and compensation through the platform
  • Review deliverables and approve or request revisions within a reasonable timeframe
  • Honour the agreed-upon terms once a project role is funded

6. Creator Terms

As a "Creator" on Muse Collectivity (someone who provides music services), you agree to:

  • Accurately represent your skills, experience, and portfolio in your profile
  • Only accept projects you have the ability and capacity to deliver
  • Deliver work that meets the agreed-upon specifications and quality standards
  • Deliver work within the agreed timeframe, or communicate promptly if delays occur
  • Submit only original work or work you have the legal right to use and licence
  • Not use AI-generated content unless explicitly agreed upon with the artist and disclosed in your deliverables
  • Respond to revision requests promptly and professionally within the agreed number of revisions

Creators are independent service providers, not employees or contractors of Muse Collectivity. You are responsible for your own tax obligations, equipment, and working methods.

7. Intellectual Property

Your content: You retain full ownership of all original content you upload to Muse Collectivity, including music, audio files, artwork, and written descriptions. We do not claim any ownership of your creative work.

Licence to us: By uploading content to the platform, you grant Muse Collectivity a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Muse Collectivity platform. This licence ends when you delete your content or close your account, except where your content has been shared with or delivered to other users as part of a completed project.

Project deliverables: Unless otherwise agreed between artist and creator, the intellectual property rights for commissioned work transfer to the artist upon full payment. Creators retain the right to display completed work in their portfolio unless the project is marked as confidential.

Platform content: The Muse Collectivity name, logo, design, and underlying technology are owned by Muse Collectivity and are protected by Australian and international intellectual property laws.

8. Payment Terms

All payments on Muse Collectivity are processed through Stripe, our third-party payment provider. By using the platform, you agree to the following payment terms:

  • Escrow: When an artist funds a project role, the payment is held in escrow by Stripe until the work is delivered and approved by the artist, or until a dispute is resolved. Funds are not released automatically — an explicit approval action or admin resolution is required.
  • Platform commission: Muse Collectivity charges a service fee on each transaction. The applicable fee percentage is displayed before you confirm any payment. Muse Collectivity will provide at least 30 days' written notice before any changes to commission rates take effect.
  • Payouts: Creator payouts are processed via Stripe Connect. You are responsible for setting up your Stripe account and providing accurate banking information. Payout timing is subject to Stripe's standard processing times.
  • No cancellation fees: Muse Collectivity does not charge cancellation fees or early termination fees for closing your account or withdrawing from a project before work has commenced.
  • Taxes: You are responsible for reporting and paying any taxes applicable to your earnings. We do not withhold taxes on your behalf. Australian creators may need to consider GST obligations if their annual turnover exceeds the GST threshold.
  • Currency: All prices and payments are displayed and processed in Australian Dollars (AUD) unless otherwise indicated.

Refund Policy

Refunds are handled on a case-by-case basis through our dispute resolution process. You may be eligible for a refund if:

  • The creator fails to deliver the agreed-upon work within the agreed timeframe
  • The delivered work materially fails to meet the agreed project specifications
  • The project is cancelled by mutual agreement before work has commenced

Refunds are not available for completed and accepted work, change of mind after project delivery, or disputes about subjective creative preferences. Nothing in this refund policy limits your rights under the Australian Consumer Law.

9. Prohibited Conduct

You must not use Muse Collectivity to:

  • Upload, share, or distribute content that infringes on the intellectual property rights of others
  • Engage in fraudulent, deceptive, or misleading conduct
  • Harass, bully, threaten, or abuse other users
  • Post spam, unsolicited promotions, or irrelevant content
  • Attempt to circumvent the platform's payment system to avoid service fees
  • Create multiple accounts for deceptive purposes
  • Use automated tools, bots, or scrapers to access the platform without our written consent
  • Upload malicious files, viruses, or content designed to disrupt the platform
  • Impersonate another person, artist, or organisation
  • Use the platform for any unlawful purpose under Australian or applicable law
  • Attempt to reverse-engineer, decompile, or extract the source code of the platform

10. Account Suspension and Termination

We may suspend or restrict your account with reasonable written notice if we believe you have violated these Terms of Service. Grounds for suspension include, but are not limited to:

  • Repeated violations of these terms or platform policies
  • Fraudulent or illegal activity
  • Repeated copyright infringement (see our Copyright Policy)
  • Harassment or abusive behaviour towards other users
  • Attempting to circumvent the payment system

Immediate suspension without prior notice may occur only where we reasonably determine that immediate action is necessary to prevent fraud, illegal activity, imminent harm to other users, or a serious threat to platform security. In such cases, we will notify you of the suspension and the reasons for it as soon as practicable.

If your account is suspended, you will have the opportunity to respond to the reasons for suspension. If your account is terminated, we will provide you with reasonable notice and an opportunity to download your data before termination takes effect, unless doing so would compromise platform safety or an ongoing investigation.

Escrowed funds: If your account is suspended or terminated while you have funds held in escrow, those funds will be handled through our standard dispute resolution process. We will not forfeit or retain escrowed funds as a penalty.

You may close your own account at any time through your account settings. Closing your account does not cancel any outstanding payment obligations.

11. Dispute Resolution

Between users: If a dispute arises between you and another user, we encourage you to try to resolve it directly through the platform's messaging system first.

If you are unable to resolve the dispute directly, either party may raise a formal dispute through the platform. Our team will review the matter, including any evidence submitted by both parties, workspace chat history, deliverables, and timelines. We may, at our discretion, mediate between the parties and determine the outcome of any escrowed funds.

Our dispute resolution decisions regarding escrowed funds are binding on the platform, but do not limit your rights to pursue claims through external legal channels, including courts, tribunals, or consumer protection bodies.

Between you and Muse Collectivity: For disputes between you and Muse Collectivity directly, the parties agree to attempt to resolve the matter through good-faith negotiation before commencing any legal proceedings. If the dispute cannot be resolved within 30 days, either party may pursue resolution through the courts or an applicable external dispute resolution body.

12. Limitation of Liability

To the maximum extent permitted by law, Muse Collectivity is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Muse Collectivity. This includes, but is not limited to, loss of profits, data, or business opportunities.

Liability cap: To the maximum extent permitted by law, Muse Collectivity's total aggregate liability to you for any and all claims arising out of or relating to these terms or your use of the platform is limited to the total amount of service fees you have paid to Muse Collectivity in the 12 months immediately preceding the event giving rise to the claim, or AUD $100, whichever is greater.

Muse Collectivity is a marketplace platform that connects artists and creators. We are not a party to the agreements between users and do not guarantee the quality, safety, or legality of services offered on the platform. We do not guarantee that the platform will be available at all times or free from errors.

Australian Consumer Law: Nothing in these terms is intended to exclude, restrict, or modify any consumer guarantees, rights, or remedies you may have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law. If the Australian Consumer Law applies to you, our liability is limited, to the extent permitted, to the re-supply of the services or payment of the cost of having the services re-supplied.

13. Indemnity

You agree to indemnify and hold harmless Muse Collectivity, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the platform or any content you upload
  • Your breach of these Terms of Service
  • Your violation of any applicable law or the rights of any third party
  • Any dispute between you and another user of the platform

This indemnity does not apply to the extent that a claim arises from Muse Collectivity's own negligence, wilful misconduct, or breach of these terms. This clause does not limit any rights you may have under the Australian Consumer Law.

14. Changes to These Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email and through an in-app notification at least 30 days before the changes take effect. We will provide a clear summary of what has changed.

Your continued use of the platform after the effective date constitutes your acceptance of the updated terms. If you do not agree with the updated terms, you must stop using the platform and close your account before the changes take effect. Any outstanding payment obligations will still apply.

15. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Australia. Any legal proceedings arising from or relating to these terms shall be subject to the jurisdiction of the courts of Australia.

16. Severability

If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
